Explanation of Responses:

1. Acquired as a result of the satisfaction of the performance criteria of the underlying award as of the date stated. Fifty percent of this award vested on such date and the remaining fifty percent will vest on the first anniversary of such date, subject to the reporting person's continued employment with the Company.

2. Represents shares sold solely for purposes of the payment of taxes arising in connection with the vesting of restricted stock units on October 19, 2021. The number of shares sold was determined based on the closing price on the last trading day prior to vesting, which was October 18, 2021.
