Remarks:

On October 5, 2016, concurrent with the reporting person's appointment to the board of directors of COPsync, Inc. (the "Company"), the reporting person was granted options (the "Options") to purchase 20,000 shares of Company common stock. The Options were granted pursuant in accordance with the Company's 2009 Long-Term Incentive Plan, as amended and pursuant to Rule 16b-3(d). The Options are subject to a three-year vesting period, with 33% vesting on the first year anniversary of the date of grant and the remainder vesting ratably over the next eight quarters.
