Explanation of Responses:

1. 32,170 restricted stock units held by Mr. Webb vested on May 1, 2020 and were settled in exchange for a like amount of shares of common stock, par value $0.01 per share ("Common Stock") of J.Jill, Inc.

2. Due to an administrative error, Mr. Webb's Form 4 filed on May 4, 2020, inadvertently omitted the number of shares withheld to satisfy tax withholding obligations. As a result, such shares were inadvertently included in the total amounts reported in Column 5 on Mr. Webb's Form 4 filed on May 4, 2020. This Form 4 reflects the corrected total beneficial ownership for Mr. Webb.

3. Each restricted stock unit represents a contingent right to receive one share of Common Stock of J.Jill, Inc.
