1. The options become exercisable in three equal annual installments on each of March 1, 2019, 2020 and 2021.

2. Each restricted stock unit represents a contingent right to receive one share of common stock of Keane Group, Inc.

3. The restricted stock units vest in three equal annual installments on each of March 1, 2019, 2020 and 2021. Vested shares will be delivered to the reporting person as soon as practicable following each vest date, but in no event later than March 15 following the end of the calendar year in which the shares vested.
