The holding represents multiple awards over the last three years of restricted stock units vesting as follows: 3,034 vesting on March 1, 2021; 13,278 units vesting in two equal installments on each of February 27, 2021 and February 27, 2022; and 37,342 vesting in three annual installments beginning on January 2, 2021.

2. Each restricted stock unit represents a contingent right to receive one share of common stock of the Issuer.

3. The options become exercisable in three equal annual installments on each of March 1, 2019, 2020 and 2021.
