Explanation of Responses:

1. Shares of common stock were acquired for no consideration upon the vesting of performance share awards.

2. Balance has been increased by 1,439 shares of common stock to reflect the amended information set forth in column 5 of the reporting person's Form 4 filed on January 6, 2022 (as amended).

3. This amended line item reflects the final number of shares withheld by the Issuer to satisfy tax withholding obligations in connection with the vesting of 82,609 performance share awards.
