Explanation of Responses:

1. Award of performance-vesting restricted stock units (RSUs). Each performance-vesting RSU entitles the reporting person to receive one share of common stock. The performance condition for the RSUs was satisfied on April 1, 2021 upon the consummation of the sale by DXC Technology Company of its healthcare provider software business. The RSUs vested and settled on April 1, 2021.

2. Amount reported includes unvested RSUs.

3. Shares withheld to satisfy tax liabilities arising from the vesting and settlement of 5,194 performance-vesting RSUs on April 1, 2021.
