Explanation of Responses:

1. On January 2, 2020, AB Private Credit Investors Corporation (the "Company") closed a capital call, pursuant to which Mr. Sebastian was obligated to make a capital contribution of $10,000 on January 2, 2020 to the Company, and the Company is obligated to issue shares of the Company's common stock, par value $0.01 per share (the "Common Stock") to Mr. Sebastian, provided such capital contribution was funded timely. As of the date of this filing, the number of Common Stock that will be issued to Mr. Sebastian in respect of this $10,000 capital contribution is unknown. Mr. Sebastian will amend this Form 4 once the number of Common Stock has been determined.
