Explanation of Responses:

1. During the third quarter of 2018, the issuer Safehold Inc. (NYSE: SAFE) adopted an equity incentive plan providing for grants of interests ("CARET Units") in a subsidiary of the issuer, and the reporting person was granted 3,750 CARET Units under this plan. Effective December 1, 2021, the reporting person exchanged 3,750 CARET Units held by him for 2,546 shares of SAFE common stock in a transaction exempt from Section 16(b) of the Securities Exchange Act of 1934 pursuant to Rule 16b-3 thereunder.
