Explanation of Responses:

1. Upon each vesting date, each vested restricted stock unit automatically converts into one (1) ordinary share of Endo International plc. One-third (1/3) of these restricted stock units (RSUs) generally vest, thus expire, on each of March 29, 2020, March 29, 2021 and March 29, 2022.

2. These RSUs were granted to Mr. Pera in consideration of his services as President, Par Pharmaceutical, a subsidiary of Endo International plc.
