Item 1.01 Entry into a Material Definitive Agreement
On December 7, 2023, Praxis Precision Medicines, Inc. (the “Company”) entered into an Open Market Sale AgreementSM (the “Sales Agreement”) with Jefferies LLC (“Jefferies”) to sell shares of the Company’s common stock, par value $0.0001 per share (the “Common Stock”), with an aggregate offering price of up to $75,000,000, from time to time, through an “at the market” equity offering program under which Jefferies will act as sales agent.
Under the Sales Agreement, the Company will set the parameters for the sale of shares, including the number of shares to be issued, the time period during which sales are requested to be made, limitations on the number of shares that may be sold in any one trading day and any minimum price below which sales may not be made. Subject to the terms and conditions of the Sales Agreement, Jefferies may sell the shares by methods deemed to be an “at the market offering” as defined in Rule 415 promulgated under the Securities Act of 1933, as amended (the “Securities Act”), including sales made through The Nasdaq Global Select Market, on any other existing trading market for the Common Stock or to or through a market maker. The Company will pay Jefferies a commission of up to 3.0% of the gross proceeds of any Common Stock sold through Jefferies under the Sales Agreement, and also has provided Jefferies with customary indemnification rights. The Sales Agreement may be terminated by either party upon ten trading days’ prior written notice to the other party.
The sales of shares under the Sales Agreement will be made pursuant to the Company’s shelf registration statement on Form S-3 (File No. 333-260726) filed with the Securities and Exchange Commission (the “Commission”) on February 7, 2023, which became effective on February 9, 2023, or one or more additional registration statements the Company may file with the Commission from time to time, as such registration statements become effective. The Company filed a prospectus supplement with the Commission on December 7, 2023 in connection with the offer and sale of the shares pursuant to the Sales Agreement.

Latham & Watkins LLP, counsel to the Company, has issued an opinion to the Company, dated December 7, 2023, regarding the validity of the shares of Common Stock to be issued and sold pursuant to the Sales Agreement. A copy of the opinion is filed as Exhibit 5.1 to this Current Report on Form 8-K.
