Explanation of Responses:

1. These exercises and sales were made pursuant to a 10b5-1 trading plan adopted by the Reporting Person.

2. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $54.01 - $55.59, inclusive. The Reporting Person undertakes to provide to the Issuer, any security holder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares purchased at each separate price within the ranges set forth in this footnote to this Form 4.

3. This option grant was made pursuant to the Issuer's non-employee director compensation policy. The option, representing a right to purchase a total of 36,000 shares was granted on August 2, 2017, vesting in three equal installments on August 2, 2018, 2019 and 2020, subject to the Reporting Person's continuous service with the Issuer at each vesting date. The Reporting Person previously exercised the option with respect to 12,000 shares on February 21, 2019.
