| 1. On November 4, 2016, the reporting person was granted an option to purchase 35,000 shares of common stock. The option vests as follows: (i) 11,667 shares vest upon the uplisting of the Company to the NASDAQ Stock Market, (ii) 11,667 shares vest upon the cumulative funding of the Company of or in excess of $5,000,000 by institutional investors commencing November 4, 2016 and (iii) 11,666 shares vest upon the first submission of a New Drug Application to the U.S. Food and Drug Administration for one of the Company's products by either the Company or a Company licensee. On December 13, 2016, the performance criteria in subsection (ii) was met, resulting in vesting of the option as to 11,667 shares. |
