Explanation of Responses:

1. 2,000 shares are represented by restricted stock units ("RSUs"). Each RSU represents the Reporting Person's right to receive one share of Common Stock of Issuer, subject to the vesting schedule: 100% vest on the one year anniversary date or the date of the 2021 Annual Shareholder Meeting, whichever is earlier, subject to the Reporting Person continuing as a service provider through such date.

2. On June 15, 2020, the Reporting Person was granted 2,500 non-qualified stock options. 100% of the options vest on the one year anniversary of the grant date or the date of the 2021 Annual Shareholder Meeting, whichever is earlier, subject to the Reporting Person continuing as a service provider through such date.
