1. Each share of Class B Common Stock was converted into one share of Class A Common Stock for no additional consideration. The shares of Class B Common Stock had no expiration date.

2. Indirectly held through Thomson Reuters U.S. LLC, a Delaware limited liability company, a wholly-owned indirect subsidiary of the reporting person.

Remarks:

The reporting person previously ceased to be a 10% owner due to an increase in shares of outstanding Class A Common Stock.
