Explanation of Responses:

Represents the fifth and final distribution of phantom stock units representing performance share units that vested in November 2019 and were deferred pursuant to the New Jersey Resources ("NJR") Officers Deferred Compensation Plan. Each share of phantom stock and dividend equivalent is the economic equivalent of one share of NJR Common Stock.

2. Represents shares withheld to cover taxes of deferred compensation distribution.

3. Total adjusted for 259.421 accrued dividends under the NJR Dividend and Reinvestment Plan.

4. Each phantom stock unit is the economic equivalent of one (1) share of NJR Common Stock.
