Item 8.01 Other Events.
EVmo, Inc., a Delaware corporation (the “Company”), is in the process of finalizing its annual report on Form 10-K (the “10-K”) for the fiscal year ended December 31, 2022 (“Fiscal 2022”), which was originally scheduled to be filed on March 31, 2023. The Company previously filed a notification of late filing on Form 12b-25, which provided for an automatic extension of fifteen calendar days to file the 10-K.
The Company had anticipated filing the 10-K on the final day of the extension period, or April 17, 2023, but it has determined that the financial close process for Fiscal 2022 will require several more days to complete. Accordingly, the 10-K will be filed after the extension period expires. The Company expects to file the 10-K at some point in the next several business days.
