Explanation of Responses:

1. The reporting person was awarded stock options pursuant to the Issuer's 2019 Omnibus Stock Incentive Plan and Stock Option Award Agreement.

2. The options are vested as to two-thirds of the shares, and the remainder of the shares shall vest ratably over 1 year commencing on the first anniversary of the grant date, which was December 9, 2019.

3. The reporting person agreed to an amendment of the option granted to him on December 9, 2019, in order to reduce the exercise price.
