Explanation of Responses:

1. Represents 20,000 Common Shares underlying 20,000 Restricted Stock Units ("RSUs") granted to Mr. McAnuff on November 9, 2016. These RSUs will vest as follows: (i) 5,000 of the RSUs will vest on November 9, 2017; (ii) 5,000 of the RSUs will vest on November 9, 2018; (iii) 5,000 of the RSUs will vest on November 9, 2019; and (iv) 5,000 of the RSUs will vest on November 9, 2020.

2. Represents the automatic withholding of Common Shares to satisfy tax withholding obligations in connection with the vesting of RSUs.
