Explanation of Responses:

1. Mr. Purcell received a restricted stock award of 1,539 shares of the Company's common stock on July 18, 2018. Previous disclosure stated such common stock will vest in full on the earlier of the next annual shareholder meeting or the one-year anniversary of the date of grant. Notwithstanding the foregoing, the common stock will vest in full on the one-year anniversary of the date of grant.
