Explanation of Responses:

1. 26,000,000 shares of Common Stock are held by the Souki Family 2016 Trust (the "Trust"). The voting rights related to the Common Stock held by the Trust are controlled by the majority vote of the beneficiaries of the Trust. The Reporting Person has been granted an irrevocable power of attorney to vote the shares held by the Trust until December 31, 2020. The Reporting Person disclaims beneficial ownership of these shares.
