Item 8.01 Other Events.
On November 18, 2021, the board of directors (the “Board”) of the Company voted to terminate and not renew the employment agreement, dated February 7, 2020, by and between Salvatore Villanueva, III and the Company (the “Employment Agreement”), to be effective December 19, 2021. The Board also voted to place Mr. Villanueva on paid leave during the thirty-day notice period set forth in the Employment Agreement and for Mr. Villanueva to receive continued salary and benefits while he remains employed with the Company.
