Explanation of Responses:

1. The Series A Preferred Stock is convertible at the discretion of the shareholder.

2. There is no expiration date on the Series A Preferred Stock.

3. The Series A Preferred Stock is convertible on a cashless basis.

Remarks:

The reporting person owns 486,115 shares of the Series A Preferred Stock with each share being convertible into 100 shares of Series A Common Stock. This amendment is being filed to correct the previous characterization of the reporting person as a "10% owner" which was inadvertently reported.
