Explanation of Responses:

1. Restricted stock units ("RSUs") convert into common stock on a one-for-one basis.

2. In connection with the vesting of shares of RSUs pursuant to the Frank's International N.V. 2013 Long-Term Incentive Plan, Frank's International N.V. (the "Issuer") withheld vested shares to satisfy tax withholding obligations. The number of vested shares withheld was based on the closing price per share on June 4, 2018. The withholding of vested shares pursuant to this award was approved by the Board of Supervisory Directors of the Issuer, and the number of shares indicated in this Form 4 was acquired as treasury stock by the Issuer.

3. On June 9, 2017, the reporting person was granted 14,342 RSUs vesting ratably in three annual installments beginning on June 5, 2018.

4. Consists of (i) 7,943 RSUs that will vest on December 1, 2018, (ii) 28,650 RSUs that will vest ratably in three annual installments beginning on February 19, 2019, (iii) 3,234 RSUs that will vest on February 23, 2019, (iv) 6,914 RSUs that will vest 50% on February 23, 2019 and 50% on February 23, 2020, and (v) 9,562 RSUs that will vest 50% on June 5, 2019 and 50% on June 5, 2020.
