Explanation of Responses:

1. Grant of restricted shares of the issuer pursuant to the RenaissanceRe Holdings Ltd. 2016 Long Term Incentive Plan. These shares will vest in four equal annual installments beginning on March 1, 2022.

Remarks:

On March 3, 2021 a Form 4 was filed for the reporting person that incorrectly listed his title as EVP, Chief Investment Officer. His correct title is SVP, Chief Investment Officer. This amendment on Form 4/A is being filed solely to correct the reporting person's title. All other information contained in the original Form 4 was correct.
