On June 29, 2017, Eagle Financial Bancorp, Inc. (the “Company”) announced that at a special meeting of members of Eagle Savings Bank (the “Bank”) held on June 27, 2017, members of the Bank approved the Plan of Conversion pursuant to which the Bank will convert from a mutual to a stock form of organization.
In addition, the Company announced that, subject to the satisfaction of closing conditions, it intends to close the mutual-to-stock conversion of the Bank and stock offering of the Company on July 11, 2017, at which time the Company will become the holding company of the Bank. The shares of common stock sold in the offering are expected to begin trading on the Nasdaq Capital Market on July 12, 2017 under the ticker symbol “EFBI.”
The Company also announced that it intends to sell 1,572,808 shares of common stock, at $10.00 per share, for gross offering proceeds of $15.7 million. All accepted orders in the subscription offering will be filled in full. The total shares being sold includes 129,024 shares that are being subscribed for by the Eagle Savings Bank Employee Stock Ownership Plan, or 8% of the total number of shares being issued in the Conversion, including shares contributed to the charitable foundation.
The Bank’s members also approved the contribution of $100,000 and 40,000 shares of Company common stock to Eagle Savings Bank Charitable Foundation, Inc., a not-for-profit charitable foundation that the Bank is establishing in connection with the stock offering.
