Explanation of Responses:

1. Represents an award of 26,470 restricted stock units ("RSUs") which will vest and become payable in three substantially equal annual installments beginning on June 21, 2025, subject to full accelerated vesting upon a change in control of the Issuer. Each RSU represents the right to receive, at settlement, one share of common stock. The RSUs will be settled in common stock upon vesting.
