Explanation of Responses:

1. The Form 4 filed on February 24, 2023 is being amended to correct the number of shares of common stock acquired upon vesting of restricted stock units, the number of such restricted stock units beneficially owned following such transaction, the number of shares withheld to pay taxes applicable to the vesting of restricted stock units and the number of shares of common stock beneficially owned following the reported transactions. This amendment is deemed to amend and update any subsequently filed Form 4 filed through the date hereof.

2. Represents restricted stock units originally granted on February 22, 2022, which vest in four equal annual installments beginning on February 22, 2023, and upon vesting, will each be settled by delivery of one share of common stock, an equivalent amount of cash, or a combination thereof.

3. Represents shares withheld to pay taxes applicable to vesting of restricted stock units.
