Explanation of Responses:

1. This sale was effected pursuant to the terms of a 10b5-1 plan adopted by the reporting person and was made in order to pay the tax liability arising from the vesting of restricted stock units.

2. The price reported is a weighted average. The shares were sold in multiple transactions at prices ranging from $54.80 to $54.87, inclusive. The reporting person undertakes to provide to TESARO, any security holder of TESARO, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth herein.

3. Each restricted stock unit represents a contingent right to receive one share of TESARO common stock.

4. The RSUs were granted on March 1, 2016, and the remaining RSUs vest in two equal annual installments on each of March 1, 2019 and 2020.

5. The RSUs were granted on March 1, 2017, and the remaining RSUs vest in three equal annual installments on each of March 1, 2019, 2020 and 2021.

6. The RSUs vest in four equal annual installments beginning on March 1, 2019.

7. The option vests in 48 equal monthly installments beginning on April 1, 2018.
