1. As described in the issuer's registration statement on Form S-1 (File No. 333-252413) under the heading "Description of Securities," the shares of Class B common stock of the issuer will automatically convert into shares of Class A common stock of the issuer at the time of the issuer's initial business combination or earlier at the option of the holders thereof, on a one-for-one basis, subject to certain adjustments described therein, and have no expiration date.

2. The reporting person has an indirect pecuniary interest in shares of Class B common stock of the issuer through his membership interest in Tribe Arrow Holdings I LLC, over which the reporting person does not have voting or dispositive control. No securities are beneficially owned.
