Explanation of Responses:

1. Represents ordinary shares of Cision Ltd. (the "Issuer") sold by Capitol Acquisition Management 3 LLC pursuant to the offering of ordinary shares of the Issuer on Form S-1 as contemplated by that certain underwriting agreement, dated June 14, 2018, among the Issuer, Capitol Acquisition Management 3 LLC and the other selling shareholders named therein, and Deutsche Bank Securities Inc., as representative of the several underwriters named therein. The selling price of such shares was $14.4525 per share, which represents the price to public less the underwriting discount and commission.

2. Consists of 4,508,293 ordinary shares held by Capitol Acquisition Management 3 LLC and 11,865 ordinary shares held by Leland Investments Inc.

3. Mr. Ein controls Capitol Acquisition Management 3 LLC.
