Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one ordinary share of Cision Ltd. (the "Issuer").

2. The restricted stock units vest on August 23, 2019. Vested shares will be delivered within thirty days following the vesting of the restricted stock units, when, subject to any trading restriction, the reporting person will receive the number of ordinary shares that corresponds to the number of restricted stock units that have become vested on the applicable vesting date, less any shares withheld to satisfy federal, state, local and foreign taxes of any kind.

3. The Reporting person holds these securities of the Issuer for the benefit of a GTCR-affiliated entity. Pursuant to the policies of the GTCR-affiliated entities, the Reporting person must hold the securities on behalf of and for the benefit of the GTCR-affiliated entity. The Reporting person disclaims any pecuniary interest in the securities, and this report shall not be deemed an admission that the Reporting person is the beneficial owner of the securities for purposes of Section 16.
