Explanation of Responses:

1. Each cash settled restricted stock unit represents a contingent right to receive cash payment equal to the fair market value of one ordinary share of Cision Ltd.

2. 50% of the restricted stock units vest on January 30, 2021 and the remaining 50% vest in six equal quarterly installments beginning March 31, 2021. Cash payment will be made within thirty days following vesting in an amount equal to the fair market value of the corresponding number of ordinary shares on the applicable vesting date less any amounts withheld to satisfy federal, state, local and foreign taxes of any kind.
