Explanation of Responses:

1. Represents a grant of restricted stock units (RSUs) under the 2017 Incentive Compensation Plan. Each RSU represents a contingent right to receive one share of the Issuer's Common Stock. The RSUs vest in 20% equal annual installments on the first, second, third, fourth and fifth anniversaries of the grant date, subject to the Reporting Person's continued service as a director of the Issuer through such date.

2. Includes remaining 4,050 RSUs granted on September 6, 2018 under the 2017 Incentive Compensation Plan (not including the 1,013 RSUs that have vested to date). The RSUs vest in 20% equal annual installments on the first, second, third, fourth and fifth anniversaries of the grant date, subject to the Reporting Person's continued service as a director of the Issuer through such date.
