On April 13, 2018, Merlin Spencer resigned as a director of Muscle Maker, Inc. (the “Company”) for personal reasons. Mr. Spencer did not advise the Company of any disagreement with the Company on any matter relating to its operations, policies or practices.
On April 17, 2018, the Board appointed John Marques and Kevin Mohan, Interim President of the Company, to fill the vacancies on the Board.
Since the beginning of the Company’s last fiscal year through the present, there have been no transactions with the Company, and there are currently no proposed transactions with the Company, in which the amount involved exceeds $120,000 and in which Mr. Marques or Mr. Mohan had or will have a direct or indirect material interest within the meaning of Item 404(a) of Regulation S-K. No arrangement or understanding exists between Mr. Marques or Mr. Mohan and any other person pursuant to which Mr. Marques or Mr. Mohan were selected as a director of the Company.
Since June 2012, Mr. Mohan has served as the VP of Capital Markets for American Restaurant Holdings, Inc., a company focused on acquiring and expanding fast casual restaurant brands.
Since 1994, Mr. Marques has owned and operated various businesses in the trucking and real estate industries for the past twenty years. Since 1992, Mr. Marques served as the President of Continental Transportation Corp., a motor freight transportation company.
