Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
On March 2, 2023, Muscle Maker Inc. (the “Company”) filed a Certificate of Amendment to its Articles of Incorporation, as amended, with the Secretary of State of the State of Nevada to increase the number of authorized shares of the Company’s common stock from 50,000,000 to 150,000,000 shares (the “Charter Amendment”). As disclosed in Item 5.07 of the Current Report on Form 8-K filed with the Securities and Exchange Commission on February 28, 2023, the Charter Amendment was approved by the Company’s shareholders at a special meeting of shareholders held on February 28, 2023. The foregoing description of the Charter Amendment does not purport to be complete and is qualified in its entirety by reference to the full text of the Charter Amendment, a copy of which is filed as Exhibit 3.1 to this Current Report on Form 8-K and incorporated in this Item 5.03 by reference.
