Explanation of Responses:

1. Represents the number of shares sold to satisfy tax withholding obligations on the vesting and release of the restricted stock units.

2. Each restricted stock unit represents a contingent right to receive one share of Issuer common stock.

3. Restricted stock units vest in three equal annual installments, beginning on the first anniversary of the grant date and ending on October 15, 2026.

4. Each restricted stock unit represents a contingent right to receive one share of Issuer common stock. A performance hurdle tied to the Issuer's fiscal year 2022 financial performance was satisfied.

5. The first and second tranche of these restricted stock units vested on November 14, 2022 (the date the Compensation Committee certified achievement of the performance hurdle) and October 15, 2023, respectively. The remaining tranche will vest on October 15, 2024.

6. Restricted stock units vest in three equal annual installments, beginning on the first anniversary of the grant date and ending on October 15, 2025.
