Item 1.01 – Entry into a Material Definitive Agreement.
On October 18, 2024, Carlyle Credit Solutions SPV 2 LLC (the “SPV2”), a wholly owned subsidiary of Carlyle Credit Solutions, Inc. (the “Company”), as a borrower, entered into an amendment (the “Amendment”) to the loan and security agreement, dated as of May 13, 2020 as previously amended from time to time (the “Existing SPV2 Credit Facility” and as amended by the Amendment, the “SPV2 Credit Facility”). Capitalized terms used but not defined herein have the meanings set forth in the SPV2 Credit Facility. Among other things, the Amendment:
•reduced the Minimum Usage Amount to be equal 10% of the Maximum Facility Amount for the period from October 18, 2024 through January 18, 2025, which will subsequently increase over time to a Minimum Usage Amount equal to 60% of the Maximum Facility Amount effective on October 18, 2025, which thereafter remains constant through the last day of the Revolving Period.
•extended the end of the revolving period from March 7, 2025 to March 7, 2027 and extended the maturity date from March 7, 2030 to March 7, 2032.
