On January 28, 2021, the Company issued a press release announcing its financial results for the fourth quarter ended December 31, 2020. A copy of the press release is attached as Exhibit 99.1 and is incorporated herein by reference.

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 28, 2021, the Board of Directors of the Company (the “Board”) approved certain changes to the Company’s management team. Effective February 12, 2021, Mr. Roberto R. Herencia, Chairman of the Board of the Company and Byline Bank, will become executive Chairman and assume the additional role of Chief Executive Officer of the Company. Mr. Alberto J. Paracchini will continue in his current roles as President and Chief Executive Officer and a director of Byline Bank, and as President and a director of the Company. The changes are intended to accelerate and support the execution of the Company’s strategic plan, specifically its growth strategy, as a leading commercial banking franchise in the Chicago MSA.
Information regarding any material changes to Mr. Herencia’s compensation in connection with his assumption of the additional role of Chief Executive Officer of the Company will be disclosed in an amendment to this Current Report on Form 8-K when available.
