Explanation of Responses:

1. Represents a grant of Restricted Stock Units ("RSUs"). The RSUs were granted in connection with the Reporting Person's service as the chair of the Nominating and Corporate Governance Committee of the Board of Directors of the Issuer. 30% of the RSUs vested on the date of grant and the remaining 70% of the RSUs will vest in in equal monthly installments through the remainder of 2025, provided the Reporting Person is employed by or providing services to the Issuer on the applicable vesting date.

2. Represents a grant of RSUs. The RSUs were granted in connection with the Reporting Person's service as a member of the Audit Committee of the Board of Directors of the Issuer. 30% of the RSUs vested on the date of grant and the remaining 70% of the RSUs will vest in in equal monthly installments through the remainder of 2025, provided the Reporting Person is employed by or providing services to the Issuer on the applicable vesting date.
