Item 8.01 Other Events.
On July 15, 2021, The ADT Security Corporation, a Delaware corporation (the “Issuer”), a wholly owned indirect subsidiary of ADT Inc. (the “Company”), priced its offering (the “Offering”) of $1.0 billion aggregate principal amount of its 4.125% first-priority senior secured notes due 2029 (the “Notes”). The Offering is expected to close on July 29, 2021, subject to customary closing conditions.
The Issuer expects to use the proceeds from the Offering, along with cash on hand to (i) redeem all of the $1.0 billion outstanding aggregate principal amount of 3.500% Senior Notes due 2022 of the Issuer, and (ii) pay related fees and expenses in connection with the transactions.
The Notes are being offered and sold only to persons reasonably believed to be qualified institutional buyers in the United States pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and outside the United States pursuant to Regulation S under the Securities Act. The Notes have not been registered under the Securities Act or any state securities laws and may not be offered or sold in the United States absent registration or any applicable exemption from the registration requirements of the Securities Act and applicable laws.
On July 15, 2021, the Company issued a press release announcing the pricing of the Offering, a copy of which is attached as Exhibit 99.1 hereto and is incorporated by reference herein.
