(the "Company"), Yanmar America Corporation, a Georgia corporation ("Parent"), Osaka Merger Sub, Inc., a Delaware corporation and wholly owned subsidiary of Parent, and Yanmar Co., Ltd., a guarantor of Parent, these shares of Company common stock were cancelled and converted into the right to receive a cash payment of $7.05 per share, without interest and less any applicable withholding taxes. |
