Item 1.01 Entry into a Material Definitive Agreement.
JPMorgan Repurchase Facility
On September 29, 2021, GP Commercial JPM LLC, a wholly-owned subsidiary of Granite Point Mortgage Trust Inc. (the “Company”), entered into an amendment (the “Amendment”) to that certain previously disclosed Uncommitted Master Repurchase Agreement, dated as of December 3, 2015, as amended, with JPMorgan Chase Bank, National Association. The Amendment, among other things, updates the facility’s benchmark rate transition mechanics.
The foregoing description of the Amendment does not purport to be complete and is qualified in its entirety by reference to the full text of the Amendment, which is filed herewith as Exhibit 10.1 and is incorporated herein by reference.

Item 8.01 Other Events
On October 5, 2021, the Company issued a press release announcing that Pacific Investment Management Company LLC had submitted notice to exercise all of the warrants issued to it on September 25, 2020 to purchase shares of the Company’s common stock (the “Warrants”) and that in accordance with the terms of the Warrants, the Company has elected to settle the Warrants in cash in lieu of the issuance of shares of its common stock. A copy of the press release is filed herewith as Exhibit 99.1 and is incorporated herein by reference.
