1. Represents shares of Class A Common Stock acquired/deemed to be acquired in connection with the exercise of stock appreciation rights (see footnote 4 below).

2. Represents shares of Class A Common Stock deemed to be simultaneously sold back to ANGI Homeservices in connection with the exercise of stock appreciation rights (see footnote 4).

3. Represent shares withheld to cover taxes due in connection with exercise of stock appreciation rights (see footnote 4).

4. Following this exercise, represents 1,180,837 vested stock appreciation rights and 1,393,613 unvested stock appreciation rights that vest in one remaining installment on February 14, 2021.
