Explanation of Responses:

1. The option grant was approved by the compensation committee of Darling Ingredients Inc.'s board of directors on February 6, 2017, subject to shareholder approval of the 2017 Omnibus Incentive Plan under which the option was granted. Darling's shareholders approved the plan on May 9, 2017.

2. Options granted pursuant to the 2017 Omnibus Incentive Plan to purchase 10,138 shares become exercisable on each of 2/6/18 and 2/6/19 and 10,139 shares become exercisable on 2/6/20.
