On September 16, 2020, VICI Properties Inc. (the “Company”) amended the forward sale agreement, originally dated June 16, 2020 (the “Forward Sale Agreement”), with Morgan Stanley & Co. LLC to extend the maturity date of such Forward Sale Agreement from September 17, 2020 to June 17, 2021 (which Forward Sale Agreement was further described in the Company’s Current Report on Form 8-K filed with the Securities and Exchange Commission on June 19, 2020). The Company intends (subject to its right to elect cash or net share settlement and subject to certain conditions) to deliver, upon physical settlement of such Forward Sale Agreement on one or more dates specified by the Company occurring no later than June 17, 2021, an aggregate of 29,900,000 shares of the Company’s common stock, $0.01 par value per share, to the forward purchaser in exchange for cash proceeds per share equal to the applicable forward sale price as provided in the Forward Sale Agreement, as amended.
