Explanation of Responses:

1. The restricted stock will vest proportionately over a three-year period beginning on December 31, 2022; the restricted stock will fully vest on December 31, 2024.

2. The restricted stock will vest on December 31, 2024, with vesting being subject to the price of the Common Stock experiencing an 8.5% compounded annual increase over that three-year period. The starting price of the Common Stock for the calculation is $10.48 per share, which was the closing price per share on December 31, 2021.
