1. These securities were inadvertently omitted from the Reporting Person's holdings reported in the previously filed Form 3.

2. One third of these Restricted Stock Units are scheduled to vest on each of March 8, 2018, March 8, 2019 and March 8, 2020.

3. Each Restricted Stock Unit represents the right to receive, at settlement, one share of common stock.

4. One half of these Restricted Stock Units are scheduled to vest on each of March 7, 2018 and March 7, 2019.
