Explanation of Responses:

This option was granted on June 7, 2022 and vests in full on the earlier to occur of the one-year anniversary of the grant date and immediately prior to the Issuer's next annual meeting of stockholders occurring after the grant date, and will vest automatically as to 100% of the unvested portion of such option upon specified change in control events.

2. This option was granted on June 7, 2022 and vests in equal quarterly installments over the 12 month period following the grant date, subject to continued service as a director or consultant.
