1. Represents shares automatically sold pursuant to an irrevocable sell to cover election entered into upon acceptance of the grant to satisfy tax withholding obligations in connection with the vesting of 3,500 RSUs from a January 5, 2023 grant of 14,000 RSUs.

2.
